Source Code Escrow
On an immediate basis, we will offer Enterprise customers the option of entering into a Source Code Escrow agreement, for a nominal annual fee (similar to an "insurance premium"). Under such an agreement, two CD-ROMs, with full current GDL/GWL source code and a clearly documented, tested, platform-independent, ANSI CL-compliant build procedure, are placed into two geographically separated safety deposit boxes, to be administered by a neutral party, such as a bank or a Safety Deposit Company. The escrowed CD-ROMs would be updated quarterly with the latest stable GDL/GWL versions.
The Escrow agreement contract will document conditions under which this CD-ROM would be released to the customer, for the customers' use in conjunction with their actively licensed GDL installations, in supplementing the future support for legacy GDL applications as well as new development. The conditions would essentially consist of any event or circumstance which effectively renders Genworks (or any successor) unable to provide reasonable continuing support and maintenance for the customers' actively maintained GDL/GWL products.
Backup Maintenance
We are arranging with a network of experts in the technologies which power GDL to be available to assist with backup support in the event the terms of a Source Code Escrow were to be triggered. These specialists would be available for hire to assist the customer in ensuring the continued smooth operation of GDL/GWL related activities. This network of experts includes experienced members of Genworks' own VAR community, as well as our long-term ?rst-tier technology vendors.
